These Terms of Service (“Terms”) govern your access to and use of all services provided by Aeon Stellar Commerce Inc., including but not limited to StellaEats, StellaHub, workshops, events, and digital marketing services. By accessing or using any of our services, you (“User,” “Customer,” “Merchant,” “Participant”) agree to comply with and be bound by these Terms.

2. Service Definitions and Scope

2.1 Platform Services

  • StellaEats: AI-powered dietary discovery marketplace connecting consumers with specialty food vendors.
  • StellaHub: B2B SaaS platform providing vendor management tools, analytics, and inventory systems.
  • Workshop Series: Educational programs including “Kitchen to Commerce” and related business development sessions.
  • Digital Marketing Services: Advertising placement, content marketing, and promotional services for vendors and partners.

2.2 AI-Powered Features
Current status in research and development phase – AI-powered features. Our platforms utilize artificial intelligence for dietary matching, personalized recommendations, and predictive analytics. These AI features are experimental and continuously improving based on user interactions and feedback.

3. User Eligibility and Account Registration

3.1 Age Requirements
Users must be at least 18 years old or the age of majority in their jurisdiction to create an account. For workshop participants under 18, parental consent is required.

3.2 Account Creation

  • Provide accurate, current, and complete information during registration.
  • Maintain confidentiality of account credentials.
  • Immediately notify us of any unauthorized access.

3.3 Business Users
Merchants and B2B customers must provide valid business registration information and comply with all applicable commercial regulations.

4. Platform Use Guidelines

4.1 Acceptable Use

  • Use services only for lawful purposes and legitimate business activities.
  • Provide accurate product information and dietary claims on StellaEats.
  • Respect intellectual property rights of all parties.

4.2 Prohibited Activities

  • False advertising or misleading health claims.
  • Harassment, hate speech, or discriminatory behavior.
  • Circumventing platform security measures or payment systems.
  • Using AI features to generate harmful, illegal, or discriminatory content.

5. Workshop and Event Terms

5.1 Registration and Attendance

  • Workshop fees are non-refundable unless cancelled by Aeon Stellar.
  • Participants must adhere to professional conduct standards during all sessions.
  • Recording or redistribution of workshop content without written permission is prohibited.

5.2 Intellectual Property

  • All workshop materials, presentations, and resources remain property of Aeon Stellar Commerce Inc. 
  • Participants receive limited license to use materials for personal business development only.

5.3 Guest Speakers

  • International speakers comply with Canadian work permit requirements where applicable.
  • Speaker agreements govern content usage and recording permissions.

6. Digital Marketing and Advertising Services

6.1 Service Scope

  • Content creation, social media management, and advertising placement.
  • Performance metrics and analytics reporting.
  • Brand consultation and strategy development.

6.2 Client Responsibilities

  • Provide accurate business information and marketing materials.
  • Comply with advertising standards and regulations.
  • Approve all content before publication.

6.3 Performance Disclaimers
Marketing results may vary and are not guaranteed. Success metrics depend on multiple factors including market conditions, competition, and client adherence to recommendations.

7. Payment Terms and Billing

7.1 SaaS Subscriptions

  • Monthly or annual billing cycles with automatic renewal.
  • Payment processed through secure third-party processors.
  • 30-day notice required for subscription cancellation.

7.2 Workshop Fees

  • Partner rates available for qualified organizations.
  • Financial assistance programs available on case-by-case basis.
  • Group discounts for corporate registrations.

7.3 Transaction Fees
StellaEats collects percentage-based transaction fees from completed merchant sales, with detailed fee schedules provided in merchant agreements.

8. AI Platform Disclaimers

8.1 AI Accuracy
AI-generated recommendations and dietary matching are provided “as is” without warranties of accuracy. Users must verify all dietary information independently, especially for severe allergies or medical conditions.

8.2 Continuous Learning
Our AI systems continuously learn and improve, which may result in changes to recommendations over time. Users acknowledge that AI suggestions are not medical advice.

9. Data Ownership and Intellectual Property

9.1 User Content
Users retain ownership of content they create but grant Aeon Stellar limited license to use content for platform operations.

9.2 Platform IP
All AI algorithms, proprietary software, databases, and platform innovations are exclusive property of Aeon Stellar Commerce Inc.

10. Limitation of Liability

10.1 Service Disclaimers
Services are provided “as is” without warranties of merchantability, fitness for particular purpose, or uninterrupted operation.

10.2 Liability Caps
Total liability is limited to amounts paid to Aeon Stellar in the 12 months preceding any claim. We are not liable for indirect, consequential, or punitive damages.

10.3 Third-Party Services
We are not responsible for third-party development platforms, payment processors, delivery services, or external platform integrations.

11. Termination

11.1 User Termination
Users may terminate accounts at any time with 30-day notice 2. Paid services continue until end of billing period.

11.2 Company Termination
We reserve the right to suspend or terminate accounts for Terms violations, illegal activity, or failure to pay fees.

12. Governing Law and Dispute Resolution

These Terms are governed by Canadian federal law and Ontario provincial law. Disputes will be resolved through binding arbitration in Toronto, Ontario, Canada.

13. Changes to Terms

We may update these Terms periodically with 30-day advance notice. Continued use constitutes acceptance of updated Terms.
